Experience
Eric Nastasi is an international corporate and business attorney with over 16 years experience in representing business organizations throughout all stages of their lifecycle. His extensive experience both in law firm practice and as in-house counsel to technology sector companies has earned him the reputation of being a true business advisor, with both the substantive depth and practical experience needed to respond effectively to the legal issues faced by emerging and established organizations. Prior to joining Whiteford, Taylor & Preston, Mr. Nastasi served for six years as Chief Operating Officer and General Counsel to a global software company.
His experience covers all aspects of business planning and advice, with particular emphasis on:
- International and Domestic: He has represented clients in the US, Europe, China, Central America, Africa and the Caribbean on a broad range of matters, including entity formation, strategic planning, governance and compliance, nonprofit purposes, reorganizations, mergers, dissolution, IP development, protection and management, IP licensing and exploitation and other technology-based and business transactions
- Business Lifecycle: He advises clients on a broad range of commercial matters, including entity formation, strategic planning, corporate governance and compliance, nonprofit purposes, private placements, reorganizations, mergers, acquisitions and exit strategies
- Business Transactions: He negotiates, structures and drafts domestic, international and multinational transactions including financing agreements and financial arrangements, joint venture and partnering arrangements, distribution agreements, corporate, non-profit, partnership and LLC agreements, shareholder agreements, asset sale and purchase agreements, managed and hosted service agreements
- Non-Profit Organizations: He has assisted in all phases of operations from formation to application for recognition of tax-exempt status, to merger or dissolution. He develops solutions that permit clients to advance their exempt missions and projects while remaining compliant with the various applicable regulatory rules. He has particular experience advising clients on grant-making
- Technology / IP Matters: He advises clients in such matters as IP development, digitization agreements, protection and management, IP licensing and exploitation and other technology-based transactions such as outsourcing, strategic alliances and teaming arrangements
- Business Counseling: He brings his years of managerial experience to bear in practical, effective advice on an array of matters including corporate methodologies, operational efficiency, and Enterprise Architecture Implementation
