Former Co-Chair of the firm's Business Department, Debbie Diehl has over thirty years of experience in business transactions on both the buy and sell side, including mergers and acquisitions involving both public and private companies, as well as debt and equity financings ranging from venture capital to bank term loans and lines of credit, accounts receivable factoring, securitizations and tax-exempt financing.  She has significant experience with distressed company transactions.  Her clients have ranged from start-up entrepreneurs to Fortune 500 companies, and she has been active in the technology, life sciences, financial services, manufacturing and heavy industry, utilities, communications, healthcare, senior living, education and nonprofit sectors. 

A frequent writer and lecturer on legal topics, Ms. Diehl is Past Chair of the Maryland State Bar Association’s Business Law Section and a member of the National Association of Bond Lawyers.  She serves on the boards of the UMBC Tech Center, the Sellinger School of Business & Management at Loyola University, and the Girl Scouts of Central Maryland.

Client Alert: Maryland General Assembly Maintains $6 Million Biotechnology Tax Credit

The Maryland General Assembly has approved funding of the Biotechnology Tax Credit for FY 2010 at $6 million, the same amount allocated last year.  While the Budget Bill has yet to be signed by Governor Martin T. O’Malley, it does not appear that he will reject the allocation.  The General Assembly also passed HB493/SB880 extending the credit to individuals who invest in Maryland biotechnology companies.


Client Alert: SEC Proposes Amendments to Rule 15C2-12

On July 17, 2009, the Securities and Exchange Commission (the "SEC") published SEC Release No. 34-60332 (Release 34-60332), Proposed Amendment to Municipal Securities Disclosure, requesting comments on proposed amendments to Rule 15c2-12 (the "Rule"). The SEC's proposed amendments, which are described in more detail below, would (1) revise the scope of the continuing disclosure requirements of the Rule to include variable rate demand obligations, (2) expand the description of events relating to tax risk required to be disclosed in a notice filing, (3) add to the list of events requiring notice filings and require notice of certain events without the need for a separate finding of materiality, and (4) establish a more specific filing date for submission of notice filings. In addition, the Release provides interpretative guidance intended to assist issuers, brokers, dealers, and municipal securities dealers in meeting their obligations under federal antifraud statutes and regulations.
