Ms. Hill focuses on general business and corporate law, hospitality and mergers & acquisitions.  She has represented both buyers and sellers in corporate reorganizations, mergers and acquisitions in various industries, including petroleum distribution, homeland defense contracting, equipment leasing, healthcare, information technology, retail, wholesale distribution, professional services, energy and publishing.  Ms. Hill has handled transactions relating to leveraged ESOPs and represented companies in general corporate matters, including entity formation, corporate structure and governance, stockholders’ agreements and succession planning.  She has been ranked in Chambers and Partners since 2007.  Ms. Hill is admitted to practice in Maryland and is based in our Baltimore office.

Ms. Hill is fluent in Polish.

  • Representation of buyers and sellers in corporate reorganizations, mergers and acquisitions ranging from $100,000 to $200 million in various industries, including petroleum distribution, homeland defense contracting, equipment leasing, healthcare, information technology, retail sales, wholesale distribution, professional services, energy and publishing
  • Representation of publicly-held information technology company in series of acquisitions of other technology entities, in an effort to consolidate providers of technology services to "middle-market" customers
  • Handled series of acquisitions for Maryland-based managed mental healthcare company en route to client becoming the largest such company in the United States

  • Handled several transactions (on behalf of lenders) relating to leveraged ESOPs
  • Representation of companies in establishment of equity-based employee incentive programs, including options and restricted stock, as well as executive employment arrangements
