With more than 27 years of experience in the practice of law, Mr. Dorsey uses his combined litigation and business acumen to balance the client’s overall interests with the client’s objectives in resolving complex litigation matters. Mr. Dorsey’s practice focuses on complex business and commercial litigation, but he is often engaged in employment litigation, fiduciary litigation, tort litigation, real estate litigation, and disputes in other areas of the law, including “white collar” investigations and litigation affecting the rights and liberties of individuals. Mr. Dorsey represents plaintiffs and defendants in litigation across a broad spectrum of industries including technology, energy, health care, entertainment, food service, legal, and professional services. 

Mr. Dorsey also advises clients in corporate and strategic business matters, including corporate formation and management issues, stockholder and membership rights and disputes, complex business contracts, commercial leases, acquisitions, franchising, protection, commercialization, and defense of intellectual property, corporate governance, employment matters, and daily operational concerns. In this capacity, he gains direct insight into the business concerns of the client, which proves invaluable to stave off or deal with litigation.

In 1998, Mr. Dorsey was appointed by then Maryland Governor Parris N. Glendenning to the Trial Courts Judicial Nominating Committee, 8th Judicial District, and reappointed to the Committee by Maryland Governors Robert L. Ehrlich, Jr. and Martin J. O’Malley, last serving as Chair of the Committee. Since 2005, Mr. Dorsey has been an appointed Settlement Officer in the Circuit Court for Carroll County, Maryland where he is assigned to oversee mandatory pre-trial settlement conferences in civil cases involving business and contract disputes, together with negligence and other tort claims. Mr. Dorsey is also an appointed member of the Committee on the Resolution of Fee Disputes of the Maryland State Bar Association where he assists in resolving fee disputes between clients and attorneys, and participates as Chair or Client Representative in the arbitration of matters that cannot be amicably resolved.

Shareholder / Member Disputes, Fair Value, and Corporate Dissolution Claims

Asserted claims on behalf of a minority stockholder that lead to a case of first impression on the issue of stockholder oppression in the context of stockholder distributions. Defended an urgent care center pro hac vice against claims of a physician member seeking the appointment of a custodian and other injunctive relief and alleging breach of fiduciary duty together with other tort and contract claims. Asserted claims on behalf of the urgent care center seeking the fair value determination of the physician member’s interest and declaratory relief concerning ownership of intellectual property. Defended a shareholder and company against claims alleging breach of fiduciary duties and requesting the appointment of a custodian and dissolution of the company. Defended a founding member of an interior design company against breach of fiduciary duty and corporate cancellation claims. Asserted statutory inspection right claims on behalf of an ousted member of a manufacturing agency company. Defended the operating entity of a well-known restaurant and certain of its shareholders against claims of the petitioning shareholder seeking corporate dissolution and other judicial relief.
 

Partnership Fiduciary and Termination Claims

Defended real estate developers in a breach of contract and breach of fiduciary duty action arising out of a failed business partnership.
 

Breach of Contract and Commercial Tort Claims

Defended owners of a local restaurant against claims seeking $10.5 million in damages resulting from alleged breach of contract, fraud, conspiracy, tortious interference with contractual relations, and a request that the Court specifically enforce the purported sale of the business.Defended a technology services and placement company against claims asserted by multi-tiered contractors alleging breach of contract and negligence related to services rendered on a federal contract. Asserted breach of contract and tort claims on behalf of the purchasing entities of a multi-bed assisted living facility. Represented business owner in commercial insurance claims arising out of the ‘Baltimore Riots’. Defended a church against breach of contract and related tort claims arising out of the $4 million dollar sale of the church’s real estate. Asserted breach of contract and mechanic’s lien claims on behalf a contactor that resulted in a verdict and final lien in favor of the contractor. Defended Cannabis Company against a multi-million breach of contract and mechanic’s lien claim related to the buildout of its grower facility.
 

Federal and State Securities Claims

Asserted federal and state securities claims on behalf of a group seeking to commercially exploit of investors against a limited liability company and its controlling members engaged in the business pioneering polymer ammunition. Defended founding member and limited liability company engaged in the business of operating child care centers against state securities claims surrounding a purported investment. Advised individual engaged in a dispute over the issuance of founder shares in a technology start-up.
 

Unfair Competition and Related Commercial Disputes

Defended health club owners against multi-million dollar claims alleging unfair competition, civil conspiracy, breach of fiduciary duty, and breach of contract.
 

Protection and Defense of Intellectual Property

Asserted claims on behalf of a patent owner in a dispute arising out of a patent purchase agreement and successfully defended the same patent owner against claims of patent invalidity. Asserted claims on behalf of an intellectual property licensor related to a dispute arising out of an exclusive license agreement. Defended a telecommunications company in claims arising out of the transfer, ownership, and operation of its business that included an embroiled dispute over the company’s intellectual property.
 

Restrictive (Non-Compete / Non-Solicitation) Covenants

Asserted claims on behalf of a podiatric medical practice group in a breach of contract and business tort action against a former physician employee and competing business enterprise. See Dang H. Vu, et al. v. Allied Foot & Ankle, P.C., 180 Md.App. 663, 952 A.2d 379 (2008). Also defended senior executive against claims alleging breach of restrictive covenants including non-competition and non-solicitation.
 

State Contractor Claims and Protests

Protested the bid and contract award process on behalf of a general contractor in a multi-million dollar construction project for the Baltimore City Schools. Appeared before the Maryland State Board of Contract Appeals on behalf of a contractor challenging the purported termination for convenience of a multi-million dollar state contract.
 

Supply Agreements

Asserted claims on behalf of a printing and design company in a breach of contract action against a fortune 1000 company seeking damages in excess of $30 Million.
 

Business Defamation

Asserted claims on behalf of an environmental company in a business tort action against a former employee and competing business enterprise. Also asserted claims on behalf of a former public official against authors of online postings criticizing the official’s personal business endeavors.
 

Trust and Fiduciary

Asserted claims on behalf of an heir to an estate valued in excess of $50 Million. Also asserted claims on behalf of an individual alleging breach of fiduciary duty against the trustee of a family trust.
 

Employment Discrimination

Asserted claims on behalf of sixteen (16) individual employees against a major resort hotel alleging the violation of federal and state employment laws.
 

Environmental Contamination

Defended gas station operators against claims of environmental contamination lodged by neighboring property owners and the Maryland Department of the Environment.
 

Civil Asset Forfeiture Reform Act (“CAFRA”) Defense

Defended the operating entities of multiple gas stations and their owner against claims asserted by the United States Government seeking the civil forfeiture of $91,639.70 in currency resulting from allegations of structuring.
 

Fair and Accurate Credit Transactions Act; Driver’s Privacy Protection Act

Defended a sports grille in a federal declaratory judgment action arising from an underlying class action lawsuit seeking statutory damages, punitive damages, costs and attorney’s fees for an alleged violation of the Fair and Accurate Credit Transactions Act (“FACTA”), 15 U.S.C. §§1681 et seq. Defended public employee against claims seeking statutory damages for an alleged violation of the Driver’s Privacy Protection Act of 1994, 18 U.S.C. §§2721, et seq.
 

Commercial Leases

Asserted claims on behalf of a technology company against its landlord for failure to construct its leased premises to the tenant’s specifications that resulted in six figure verdict in favor of the tenant. Defended grocery store tenant against landlord seeking repossession of premises resulting from an alleged breach of lease and waiver of redemption rights. Defended pizzeria tenant against landlord seeking repossession of premises and recovery of damages under related guaranty. Defended restaurateur tenant against breach of lease claims. Asserted breach of lease and guaranty claims on behalf of commercial landlord against anchor tenant.
 

Personal Injury

Asserted claims on behalf of an individual against a well-known nursing home chain seeking damages for nursing home neglect and resultant injury. Defended physician and practice group against claims of medical malpractice.
 

Malicious Prosecution

Asserted malicious prosecution, intentional infliction of emotional distress, defamation, false light, and negligence claims on behalf of an employee bookkeeper against a former employer who contended there was probable cause to file felony theft charges against the employee bookkeeper. Prior to the employee’s criminal trial, the State entered nolle prosequi and the criminal case was dismissed. The employee claimed the employer made knowingly false, malicious, and defamatory statements to the police department that caused the employee’s arrest and criminal prosecution. The employee additionally claimed the employer failed to provide the police and State’s Attorney’s Office exculpatory evidence.
